Terms of service
Breadbox Studios Ltd · Last updated: 21 October 2026About us
Breadbox Studios Ltd (“Breadbox Studios”, “we”, “us” or “Producer”) is a UK-based video production and post-production company.
We provide services including pre-production, producing, directing, filming, editing, motion graphics, photography, consulting, creative development, production logistics, crew sourcing and talent coordination.
These Terms of Service (“Terms”) apply to business clients (“Client” or “you”) engaging Breadbox Studios for services, unless otherwise agreed in writing.
The agreed quotation, statement of work, booking confirmation or project-specific Client Agreement establishes the scope and commercial details of each project. Where a signed Client Agreement conflicts with these Terms, the signed Client Agreement takes precedence.
Our approach to working together
We aim to deliver professional, high-quality work within agreed schedules and budgets. We will communicate any material issues affecting delivery as soon as reasonably practicable.
Clients are expected to provide accurate briefs, appropriate source materials, timely feedback and any approvals or information needed to complete the work.
We take the wellbeing of our team seriously. Abusive, threatening, discriminatory or persistently hostile behaviour towards our employees, freelancers or collaborators will not be tolerated and may result in suspension or termination of services.
We do not expect our team to work unreasonable or unsociable hours unless specifically agreed. Requests requiring additional staffing, overtime or accelerated delivery may incur additional fees.
We reserve the right to decline work involving unlawful material or content that we reasonably consider to present serious ethical, safety or reputational concerns.
1. Deliverables and revisions
1.1 Agreed deliverables
Breadbox Studios will provide the deliverables specified in the agreed quotation, brief or Client Agreement (“Deliverables”).
Any additional deliverables, changes to scope or new requirements must be agreed separately and may incur additional fees.
1.2 Delivery schedules
We will use reasonable care and skill to meet agreed delivery dates, provided the Client supplies the necessary materials, information, approvals and feedback on time.
Where Client delays or changes affect the schedule, delivery dates may need to be revised.
1.3 Revisions
The number of revision rounds included in the project fee will be stated in the Client Agreement or agreed quotation.
Where no number is specified, up to two rounds of revisions per video are included.
Revisions must remain within the agreed creative brief and scope. New concepts, substantial changes of direction, additional deliverables or changes requested after approval may incur additional charges.
Feedback will normally be managed through Frame.io or another agreed review method.
1.4 Client materials and approvals
The Client is responsible for providing suitable source materials in the agreed formats and quantities.
Where the volume or condition of supplied footage materially exceeds the agreed assumptions, Breadbox Studios may propose additional editing time, resources or fees.
The Client is responsible for reviewing and approving final content before publication, including factual accuracy, brand requirements, legal clearances and any materials or instructions it has supplied.
2. Fees, payment and expenses
2.1 Payment terms
Unless otherwise agreed in writing, invoices are payable within 14 calendar days of the invoice date.
Different payment schedules may be agreed for individual projects.
2.2 Deposits
Breadbox Studios may require a deposit or advance payment before confirming a booking, engaging suppliers or commencing work.
Any deposit amount and payment schedule will be set out in the quotation or Client Agreement.
2.3 Expenses
Travel, accommodation, equipment hire, licensing, platform fees, additional crew and other project expenses are payable in addition to the agreed fee unless expressly included in the quotation.
Where reasonably practicable, additional expenses will be approved with the Client in advance.
2.4 Additional work
Work outside the agreed scope, including additional revisions, overtime, extra filming days or accelerated delivery, may be charged separately following agreement with the Client.
2.5 Suspension for non-payment
Where an undisputed invoice remains overdue, Breadbox Studios may, following reasonable written notice, suspend further services or withhold final Deliverables until payment is received.
3. Late payment
Where an invoice remains unpaid after its agreed due date, Breadbox Studios may issue payment reminders at seven-day intervals until the outstanding balance is settled.
For qualifying business-to-business debts, Breadbox Studios reserves the right to claim statutory late-payment interest, fixed compensation and reasonable additional debt-recovery costs under the Late Payment of Commercial Debts (Interest) Act 1998, where applicable.
Any additional administration or recovery charges must be reasonable, lawful and must not duplicate compensation or costs already recovered.
The original invoice, payment obligations and due date remain in effect unless otherwise agreed in writing.
4. Cancellation, termination and force majeure
4.1 Cancellation of confirmed production bookings
Once a production booking has been confirmed, Breadbox Studios reserves the agreed dates, crew, equipment and production resources.
Unless otherwise agreed in writing, the following cancellation charges apply to the affected confirmed production booking:
| Notice before scheduled start | Cancellation charge |
|---|---|
| Less than 24 hours, including on the day | 100% of the affected booking fee |
| 24–48 hours | 75% of the affected booking fee |
| More than 48 hours but less than 7 days | 50% of the affected booking fee |
| 7 days or more | Work completed and reasonable, non-refundable commitments |
Notice is measured against the scheduled start time of the affected production day or booking.
Where an entire production is cancelled, the applicable cancellation charge is calculated against the agreed value of the cancelled production booking.
Where only individual shoot days are cancelled, the charge applies to the affected day or days, not automatically to the entire project.
Where individual day values have not been specified, Breadbox Studios will use a reasonable allocation of the agreed production fee, taking account of the scheduled work, crew, equipment and other commitments.
Reasonable, non-refundable third-party costs not already covered by the cancellation charge may also be recovered. No cost will be charged twice.
4.2 Cancellation of post-production or other services after commencement
Where the Client cancels an editing, post-production or other project after work has begun, Breadbox Studios may charge for:
- Work completed up to the termination date.
- Reasonable, non-refundable costs and commitments incurred.
- A cancellation charge of 50% of the remaining unpaid project value.
These charges are subject to applicable law, reasonableness and avoidance of double recovery.
4.3 Rescheduling
Client-requested rescheduling is subject to crew, equipment and studio availability. Any additional or non-refundable costs arising from rescheduling will be discussed with the Client.
A postponement that results in the loss of a confirmed booking may be treated as a cancellation of the affected dates, subject to applicable law and any written agreement.
4.4 Force majeure
Neither party shall be liable for delays or failure to fulfil its obligations caused by extraordinary events beyond its reasonable control, including severe weather preventing safe production, natural disasters, fire, flood, war, government restrictions or major infrastructure failures.
The affected party must notify the other as soon as reasonably possible. Both parties will make reasonable efforts to reschedule the affected work or agree a practical alternative.
Where a shoot cannot proceed due to a genuine force majeure event, Breadbox Studios will normally offer to reschedule without applying its standard cancellation charge, provided a mutually suitable date can be agreed.
The Client remains responsible for work already completed and reasonable, non-refundable costs incurred or committed to, including crew, equipment hire, travel and other third-party expenses.
If the disruption continues for more than 30 days and no reasonable alternative can be agreed, either party may terminate the affected services, subject to payment for work completed and reasonable, non-recoverable costs.
Ordinary scheduling changes, changes of mind, budget decisions or circumstances reasonably within a party's control do not constitute force majeure.
5. Delivery of finished work
5.1 Delivery formats
Final Deliverables will be supplied in the formats, resolutions and specifications agreed for the project.
Delivery will normally take place through Frame.io, Google Drive, WeTransfer or another agreed transfer platform.
5.2 Source and project files
Raw footage, editable project files, working timelines and other underlying materials are not automatically included in the Deliverables.
Any requirement to supply these materials must be expressly agreed in writing and may involve additional fees.
5.3 Platform uploads
Where agreed, Breadbox Studios may assist with uploading or publishing content to platforms designated by the Client.
The Client remains responsible for ensuring that it has the necessary platform permissions, licences and approvals.
Breadbox Studios is not responsible for platform outages, third-party policy changes or subsequent alterations made by the Client or platform provider, except to the extent caused by our own breach of duty.
6. Intellectual property, licensing and materials
6.1 Ownership of production materials
Subject to the Client's existing rights and applicable third-party rights, Breadbox Studios retains ownership of the intellectual property it creates in raw footage, audio recordings, photographs, graphics, treatments, scripts, production assets, templates, working files, edits and other materials developed during a project (“Materials”), unless otherwise expressly agreed in writing.
Materials created or supplied by the Client remain the property of the Client or their respective rights holders.
Underlying Materials are not automatically included in the project fee and may require a separate licence or release agreement.
6.2 Final Deliverables
Once all applicable fees and expenses have been paid in full, the Client receives the agreed rights to use the final approved and exported Deliverables.
Unless expressly agreed in a signed Client Agreement, delivery of final files does not constitute an assignment of copyright or transfer ownership of underlying Materials.
6.3 Licence to use Final Deliverables
Subject to full payment, Breadbox Studios grants the Client a perpetual, non-exclusive licence to use, publish, distribute and promote the Final Deliverables for the purposes agreed in the project scope, subject to applicable third-party rights and licences.
The Client may crop, resize, subtitle, shorten, reformat and adapt the Final Deliverables for its own legitimate business and marketing purposes.
The Client must not use the Deliverables in a manner that infringes third-party rights, materially misrepresents a performer or subject, or falsely attributes Client-made alterations to Breadbox Studios.
Breadbox Studios is not responsible for alterations made by the Client or third parties after delivery.
Any music, stock footage, fonts, performer rights or other third-party assets remain subject to their applicable licence terms.
6.4 Portfolio and promotional use
Unless otherwise agreed in writing, Breadbox Studios may showcase work it has shot, produced or edited for its own portfolio and promotional purposes.
This may include excerpts from Final Deliverables, stills, behind-the-scenes footage, photographs and other Breadbox-created production materials, including selected materials not delivered to the Client.
Permitted uses include our website, social media, showreels, case studies, presentations, talks, training and industry promotion.
We will respect agreed confidentiality restrictions, embargoes, third-party rights and performer permissions.
Where the Client expressly authorises early publicity, Breadbox Studios may share approved project information or materials before the Client's public launch.
6.5 Storage and archiving
Breadbox Studios is not required to retain raw footage, project files, working materials or other project assets for more than three months after final delivery or sign-off, unless otherwise agreed in writing.
Materials may be deleted after this period without further notice.
Breadbox Studios may retain selected footage, production materials and final exports for longer at its discretion, including for legitimate portfolio and business purposes. Such retention does not constitute a guaranteed archive service.
No guarantee is made that project files, footage or exports will remain available after three months.
Clients requiring guaranteed long-term storage must arrange this separately, which may incur an additional fee.
Where archived materials remain available, Breadbox Studios may charge a reasonable retrieval, restoration or transfer fee, agreed before that work is undertaken.
Nothing in this clause excludes liability that cannot lawfully be excluded.
6.6 Client warranties and supplied materials
The Client confirms that it has the necessary authority to commission the services and provide any materials, instructions and content supplied to Breadbox Studios.
The Client is responsible for obtaining relevant licences, permissions, releases and clearances for Client-supplied content and instructions, including copyright, trademarks, personal data and performer rights.
The Client agrees to indemnify Breadbox Studios against reasonable losses, liabilities and costs arising from third-party claims caused by the Client's breach of these obligations, to the extent permitted by law.
This does not apply to the extent that a claim results from Breadbox Studios' own negligence, breach or unauthorised use of materials.
6.7 AI-assisted production and protection of performers
Breadbox Studios may use AI-assisted tools as part of its normal production, post-production and administrative workflows, in accordance with its published AI Policy.
Routine AI-assisted processing and minor technical or creative fixes do not require separate Client approval. Substantial generative AI content will be discussed and agreed with the Client before use, as set out in our AI Policy.
Voiceover artists and on-camera talent
Where Breadbox Studios supplies or engages voiceover artists, presenters, actors, models or other performers, the Client must not use their voice, image, likeness or recorded performance for AI cloning, synthesis, recreation, digital replicas, training or AI-generated modification without prior written permission from both Breadbox Studios and the individual performer.
This includes:
- Cloning or synthesising a performer's voice.
- Creating AI-generated images or videos depicting the performer.
- Altering a performer's face, body, expressions, speech or performance using generative AI.
- Creating digital doubles or synthetic performances.
- Using recordings, images or footage to train or develop AI models.
These restrictions apply to raw footage, audio recordings, extracts, stills and Final Deliverables, including after the project has ended.
The Client must ensure that third parties receiving these materials comply with these restrictions.
Ordinary non-generative editing, cropping, colour correction, subtitling and other uses permitted under the agreed licence remain unaffected.
Any additional AI-related permissions must be expressly agreed in writing.
6.8 Working files and production assets
Editable timelines, Premiere Pro or DaVinci Resolve project files, LUTs, presets, sound libraries, templates, unrendered sequences and other internal production assets are not included in the standard Deliverables unless expressly agreed in writing.
Additional licensing, preparation or transfer fees may apply.
7. Drafts, reviews and watermarks
Breadbox Studios may provide draft or review versions of Deliverables with watermarks, timecodes, reduced resolution or other identifying marks at its discretion.
Drafts are supplied for review and feedback only and must not be published, distributed, broadcast or otherwise used commercially without prior written permission.
The absence of a watermark does not mean that a draft has been approved for publication or that usage rights have been granted.
Final Deliverables will normally be supplied without watermarks once the agreed approval process is complete and all payments due have been received, unless otherwise agreed in writing.
Breadbox Studios may withhold final, unwatermarked Deliverables where undisputed payments are overdue, subject to the agreed payment terms.
8. Confidentiality and security
Both Breadbox Studios and the Client agree to keep confidential any non-public, commercially sensitive or proprietary information received from the other party in connection with a project.
Confidential information may include project briefs, unreleased content, budgets, pricing, quotations, business plans, internal workflows, technical processes, client information and other materials reasonably understood to be confidential.
Neither party may disclose or use the other's confidential information except where necessary to fulfil the agreed services, with prior permission or where required by law.
Breadbox Studios may share relevant confidential information with employees, freelance crew, editors, subcontractors and professional advisers where reasonably necessary to deliver the project, provided they are subject to appropriate confidentiality obligations.
These restrictions do not apply to information that is already public through no breach of these Terms, was lawfully known beforehand, is independently developed or is lawfully received from another source without confidentiality restrictions.
Breadbox Studios will take reasonable technical and organisational measures to protect Client materials and information.
Confidentiality obligations continue after the project ends.
Nothing in this clause prevents Breadbox Studios from exercising its agreed portfolio and promotional rights, subject to applicable embargoes, confidentiality restrictions and third-party rights.
Personal data will be handled in accordance with applicable data protection law and our Privacy Policy, together with any separate data processing agreement required for the project.
9. Limitation of liability
To the fullest extent permitted by law, Breadbox Studios Ltd's total aggregate liability arising out of or in connection with any individual project, whether in contract, negligence or otherwise, shall not exceed £10,000.
To the extent permitted by law, Breadbox Studios shall not be liable for indirect or consequential losses, including loss of anticipated profits, revenue or business opportunities.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.
Any different liability limit required for a particular project must be expressly agreed in writing.
10. Non-circumvention
During a project and for 12 months following its completion or termination, the Client agrees not to knowingly bypass Breadbox Studios by directly engaging or soliciting crew members, editors, producers or other freelancers introduced to the Client through Breadbox Studios for substantially similar services without prior written agreement from Breadbox Studios.
This restriction applies only to individuals with whom the Client has had material contact through the relevant project.
It does not apply to individuals with whom the Client had an established professional relationship before their introduction through Breadbox Studios, or to engagements arising independently without solicitation or circumvention.
Nothing in this clause prevents freelancers from accepting work from other clients generally.
11. General terms
11.1 Governing law
These Terms are governed by the laws of England and Wales. The courts of England and Wales shall have jurisdiction over disputes arising from them.
11.2 Priority of agreements
Where the Client and Breadbox Studios have entered into a signed Client Agreement for a particular project, that agreement takes precedence over these Terms to the extent of any inconsistency.
These Terms continue to apply to matters not expressly addressed or varied by the Client Agreement.
11.3 Changes to services
Material changes to the agreed scope, Deliverables, schedule or fees must be agreed in writing. Additional work may incur additional charges.
11.4 Independent parties
Nothing in these Terms creates a partnership, joint venture, employment relationship or agency relationship between the Client and Breadbox Studios.
11.5 Third-party rights
Unless expressly stated otherwise, a person who is not a party to the agreement has no right to enforce its terms under the Contracts (Rights of Third Parties) Act 1999.
11.6 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect.
11.7 Waiver
A failure or delay by either party to enforce any provision does not constitute a waiver of its rights.
11.8 Updates
Breadbox Studios may update these Terms from time to time. Changes will not retrospectively alter an existing confirmed project agreement unless both parties agree in writing.
Acceptance
By confirming a booking or accepting a quotation that expressly incorporates these Terms, the Client agrees to be bound by them, subject to any applicable signed Client Agreement.
